THE LAST TRUST AGREEMENT — Liberty • Autonomy • Sovereignty • Togetherness

Declaration:
I, Maxx Michael Clifton, of 5466 Forest Ridge Road NE, Silverton, Marion County, Oregon 97381, create this revocable living trust (the "LAST Trust") on 05 September 2025. While living, I am Settlor and sole Trustee with full power to amend, revoke, sell, or gift trust assets. On my death or my signed Transition Notice, control transfers to the Board of the LAST Trust. No probate intended.

Purpose:
To steward wealth and ideals toward liberty, autonomy, sovereignty, and togetherness.

Mission Statement:

Initial Assets Transferred:
1) All present and future equity in 5466 Forest Ridge Road NE, Silverton, Oregon — subject to existing mortgage, which I alone pay. Principal reductions accrue to the Trust.
2) From founding Board member NS: full title to the Paradise, Butte County, California residence, transferred via quitclaim deed (Exhibit A).
3) 1994 Chevrolet Silverado 3500, red, VIN [___], title to be changed to: "Maxx Michael Clifton, Trustee of the LAST Trust".
4) Year 2000, 30‑ft bumper‑pull travel trailer, VIN [___], title likewise.
5) Olivet LLC (Oregon entity [___]): 100% of my membership interest assigned to the LAST Trust (Exhibit B). Olivet remains an independent contractor; invoices the Trust at market rate; every quarter it wires net profit to the Trust. I remain manager while alive; Board controls upon transition.

Board:
Founding members: JS and NS. They interview and approve future members based on commitment to LAST principles.

Transition & Irrevocability:
Upon my death or signed Transition Notice, the Trust becomes irrevocable. Within 12 months, the Board drafts and ratifies a Constitution for governance. After ratification, no amendments.

Revocation:
Prior to transition, I may revoke by signed notice.

How to Join / Donate:
Pass interview. Then sign: "I, [name], gift [asset/cash/rights] to the LAST Trust, irrevocably, in service of LAST." Board records deed/title/wire and files receipt in the Binder (Tab 8).

Exhibit A — Quitclaim Deed (from NS to the LAST Trust):
"I, NS, quitclaim all interest in [full legal description, Paradise, Butte County, CA] to 'Maxx Michael Clifton, Trustee of the LAST Trust'." Dated: [___]. Notary attached.

Exhibit B — Assignment of LLC Membership Interest:
"I, Maxx Michael Clifton, assign 100% of my membership interest in Olivet LLC (Oregon) to 'Maxx Michael Clifton, Trustee of the LAST Trust' effective [date]." Operating Agreement copy attached.

Board Constitution (Draft)

BOARD CONSTITUTION — LAST Trust (Draft; becomes final upon ratification)

Article 1 — Membership
1.1 Founding slate: JS, NS, and any member added by Settlor before transition.
1.2 Vacancies: remaining Board interviews candidates; majority approves; commitment to LAST required.
1.3 Term: service until resignation or removal for cause (gross breach of LAST). Removal requires 3/4 vote.

Article 2 — Decisions
2.1 Meetings: at least quarterly.
2.2 Payments: over $2,000 require unanimous approval; at or under require simple majority.
2.3 Asset sales: permitted only to advance LAST aims (e.g., land, tools, mission). Votes recorded.

Article 3 — Finance
3.1 Banking: a primary operating account; two‑signature control.
3.2 Olivet LLC: wires net profit quarterly; Treasurer files receipts (Tab 8).
3.3 No salaries. Stipends or project budgets require annual vote.

Article 4 — Emergency
4.1 If membership falls below two, the most recent donor list (gifts ≥ $500) elects replacements within 7 days.
4.2 Trust assets are not liable for personal debts of any Board member.

Article 5 — Ceremony & Ethos
5.1 Annual reading of the Manifesto.
5.2 Mission drift is grounds for censure or removal.

AMENDMENT — Internal Token (BUDDY)

The LAST Trust authorizes a Solana-native token named "BUDDY" for internal value transfer only.
No peg to external currency. Board may mint/burn/transfer by recorded vote.
Keys stored encrypted; access split among Board members. No exchange listings or fiat on/off‑ramps contemplated.
